This Affiliate Program Agreement (“Agreement”) is entered into between Nsighttel Wireless, LLC d/b/a Cellcom (“Cellcom”) and the undersigned Affiliate (“Affiliate”).
By signing this Agreement, the Affiliate agrees to participate in the Cellcom Affiliate Program under the following terms and conditions.
1. Program Purpose
The Cellcom Affiliate Program allows approved individuals, businesses, and organizations to refer new Cellcom customers using a unique affiliate code. Affiliates may earn referral payments for qualified new customer activations that meet the requirements outlined in this Agreement.
Participation in the program does not create an employment, agency, or partnership relationship between Cellcom and the Affiliate.
2. Affiliate Responsibilities
The Affiliate agrees to:
- Promote Cellcom in a professional and truthful manner.
- Use only the unique affiliate code assigned by Cellcom.
- Comply with all applicable laws, advertising guidelines, and FTC disclosure requirements when promoting Cellcom.
- Avoid making false, misleading, or unapproved claims regarding Cellcom products, pricing, coverage, or promotions.
- Not represent themselves as an employee or official spokesperson of Cellcom unless expressly authorized.
Cellcom reserves the right to request the removal of any promotional content that does not align with its brand standards or legal requirements.
3. Qualified Referrals
Referral payments will be earned only for qualified new customer activations that meet all current program requirements, including but not limited to:
- New smartphone customer activations only.
- Bring Your Own Device (BYOD) activations are eligible.
- Customer must activate on an Unlimited Plus Standard plan or higher.
- Customer must use the Affiliate’s assigned referral code during the sales process.
- Business accounts, prepaid accounts, Lifeline accounts, employee accounts, and other excluded account types are not eligible.
Cellcom reserves the right to modify eligibility requirements at any time.
4. Affiliate Compensation
For each qualified referral:
- $100 for the first activated line.
- $50 for each additional activated line on the same qualifying account.
Referral payments are subject to verification by Cellcom.
5. Payment Schedule
Referral payments will be made:
- Quarterly.
- Via ACH bank transfer.
- After the referred account has remained active for at least 90 days.
- During the next scheduled quarterly payment following the completion of the 90-day qualification period.
The Affiliate is responsible for providing accurate payment information and completing any required vendor documentation before payments can be issued.
6. Customer Promotion
Customers who use an Affiliate’s referral code may be eligible for promotional offers available at the time of activation, subject to Cellcom’s promotional terms and conditions.
Affiliate compensation is independent of customer promotional offers.
7. Program Changes
Cellcom may:
- Modify referral amounts.
- Change customer offers.
- Update program requirements.
- Suspend or discontinue the Affiliate Program at any time.
Any changes will apply prospectively and will not affect previously approved referral payments.
8. Termination
Either party may terminate participation in the Affiliate Program at any time.
Cellcom may immediately terminate an Affiliate for:
- Fraudulent activity
- Misrepresentation
- Abuse of the program
- Violation of this Agreement
- Conduct that may negatively impact Cellcom’s reputation
Termination does not guarantee payment for referrals that have not yet satisfied all eligibility requirements.
9. Independent Contractor
The Affiliate is an independent contractor and is solely responsible for any taxes, reporting obligations, or other financial responsibilities associated with payments received under this Agreement.
10. Limitation of Liability
Cellcom shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Affiliate Program.
11. Governing Law
This Agreement shall be governed by the laws of the State of Wisconsin.
12. Miscellaneous
- Entire Agreement. This Agreement constitutes the entire understanding and agreement between the parties. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and mutually agreed upon by the parties.
- Assignment. This Agreement may not be assigned without the prior written approval of Cellcom.
- Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Signatures. This Agreement and any amendments related hereto may be executed by electronic signature, which shall be considered as valid and binding as an original signature.
